The Assistant Company Secretary is responsible for delivering end-to-end company secretarial and governance support across BSP's subsidiaries and country branches. Reporting to the Group Company Secretary, the role ensures that Boards and committees operate effectively, statutory and regulatory obligations are met, and corporate governance practices remain aligned with Group standards and local legal requirements.

What you will do

  • Coordinate subsidiary Board and committee activities, including annual calendars, agendas, board papers, minutes, resolutions, and action tracking.
  • Manage statutory filings, annual returns, regulatory lodgements, and corporate registry requirements across BSP's jurisdictions.
  • Provide governance and company secretarial advice to Boards and senior management on legal, regulatory, and prudential obligations.
  • Support compliance with relevant PNGX, ASX, and SPX listing and disclosure requirements, as well as applicable regulatory frameworks.
  • Maintain governance records, shareholder registers, governance policies, charters, and statutory registers.
  • Coordinate director onboarding and induction programs and facilitate communication between Subsidiary Boards, the Group Board, and key stakeholders.

What they ask for

Education: Degree or higher · Experience: 10+ years

  • Bachelor of Laws and admission as a legal practitioner in Papua New Guinea
  • Approximately 10 years' post-admission legal experience, including at least 5 years in company secretarial, corporate governance, or related roles supporting Boards and senior executives
  • Strong knowledge of corporate governance frameworks, corporate and commercial law, and the banking or financial services regulatory environment
  • Proven experience managing Board and committee operations, including preparation of agendas, papers, minutes, resolutions, and regulatory filings
  • Ability to navigate complex multi-jurisdictional regulatory requirements, including corporate registry obligations, prudential standards, and shareholder matters
  • Excellent written and verbal communication skills with sound judgement handling confidential and commercially sensitive information
  • Experience in banking, financial services, listed entities or regulated environments with exposure to PNGX, ASX, and SPX listing requirements
  • Experience with board portals, entity management systems, share registry processes, and market announcement lodgement procedures
  • Master of Laws, Institute of Directors membership, or equivalent governance accreditation
